Hereafter, "Software" refers to the Exchangerix application, "Licensor" refers to Exchangerix, "License" refers to this document, and "Licensee" refers to the party that received this license after having downloaded this Software and paying the required fee as determined by the Licensor.

This License governs use of the accompanying Software, and your purchase and use of the Software constitutes your acceptance of this License and all of its contents and stipulations.

THIS SOFTWARE IS NOT FREEWARE OR SHAREWARE. IT IS A COMMERCIALLY LICENSED PRODUCT. IT MUST BE PURCHASED FROM THE LICENSOR FOR USE BY ANY INDIVIDUAL OR PARTY, AND IS SUBJECT TO THE FOLLOWING TERMS:

1. The Software may only be used after the Terms of Use have been negotiated and the payment received in full by the Exchangerix.com
2. The Software may under no circumstances be distributed to any third party or individual.
3. The Software may be used to serve multiple users, but they must not be given access to its source code or other internal resources. Distribution of these resources is illegal.
4. You may not copy the Software for DISTRIBUTION or RESELL in any way.
5. The Software may only be used on one web domain (e.g. www.domain.com) per license purchased solely from the Exchangerix.com

If this software is found to be stolen, distributed without permission, illegally obtained, or if the users of this software are found to be breaching any of the terms herein, the Licensor has the unconditional right to prosecute them to the fullest extent of the law.

The Licensor, its management, or any of its employees, associates, or partners cannot be held liable for any damages that this Software may cause. As the Licensee and user of the Software, you agree to accept full liability for any damages, risk, and losses involved with or incurred by the use of the Software. THE SOFTWARE AND ALL ASSOCIATED MATERIALS AND SERVICES ARE PROVIDED SOLELY ON AN "AS-IS" BASIS WITH ABSOLUTELY NO WARRANTY OF FITNESS OR MERCHANTABILITY, EXPLICIT OR IMPLIED.

This license must be left completely intact when this software is used, or copied for approved multi-user use. The Licensor reserves all rights not expressly granted to you in this license.

3. Modifications

You are authorized to make necessary modification(s) to our products to fit your purposes in accordance with the type of license you acquire.

4. Unauthorized use

You shall not place any of our products, modified or unmodified, on a diskette, CD, website or any other medium. You also shall not offer them for redistribution or resale of any kind without prior written consent from our company.

5. Assignability

You shall not sub-license, assign, or transfer the any mentioned above to any entity without prior written consent from our company.

6. Our Refund Policy

Since Exchangerix.com is offering non-tangible, irrevocable goods we do not issue refunds after the product is shipped, which you acknowledge prior to purchasing any product at our site. Please make sure that you've carefully read 'sources available' section. We only make exceptions with this rule when the product appears to be not-as-described on a case by case basis at our sole discretion. The deadline for any refund claim is one week after the delivery date. The refund is issued to you after we receive a Waiver of Copyright signed by you. This is a required condition.

7. Ownership

You do not claim intellectual property right or exclusive ownership to any of our products, modified or unmodified. All products are property of independent content providers. Our products are provided "as is" without warranty of any kind, either expressed or implied. In no event shall our company or its agents be liable for any damages including, but not limited to, direct, indirect, special, punitive, incidental or consequential, or other losses arising out of the use of or inability to use our products.

8. Installations

We do not install any of our products. Installation is a paid service which is not included in the package price.

9. Antifraud Check

Customer purchase can be suspended for manual antifraud check for 10-20 minutes as well as it can be suspended for a longer term for more serious investigations. Antifraud check occurs because of growing number of fraud transactions from persons who are not actual cardholders of the credit cards used during purchase.

10. Third-Parties Services

Exchangerix.com may use third parties to provide certain services accessible through the website. Exchangerix.com does not control these third parties or their services, and you agree that our company will not be liable to you in any way for your use of such services. These third parties may have their own terms of use and other policies. You agree to comply with such terms and policies as well as these. If any such terms or policies conflict with Exchangerix.com's terms, agreements or policies, you must comply with those of Exchangerix.com.

11. Governing Law and Jurisdiction

By accessing this website, you agree that all matters relating to your access to and use of this website and/or its products shall be governed by the statutes and laws of the State of Texas, without regard to the conflict of laws principles thereof. The parties specifically disclaim the U.N. Convention on Contracts for the International Sale of Goods. You also agree and hereby submit to the exclusive personal jurisdiction and venue of the state and federal courts of Dallas County, Texas with respect to any such matters relating to your access or use of this website and/or its products.
